     On January 4, 2008 Tower Semiconductor has filed a report with the Israeli
Securities Commission according to which it has accepted an order from an
Israeli institutional investor for its long-terms bonds (series E) traded in
Israel for a total aggregate amount of 5.5 million NIS (approximately $1.4
million). For a description of the terms of long-term bonds, please see the
Registrant's Form 6-K filed on June 13, 2007.

     This Form 6-K is being incorporated by reference into all effective
registration statements filed by us under the Securities Act of 1933.
